Director of Corporate Development

Salary: £120-£150k dependent on experience Plus bonus

Our client is a world leading international consultancy, providing strategic advisory services to enable consumer and B2B clients access to established and emerging technologies. They are now looking to recruit a Director or Corporate Development to lead the company’s M&A function, providing strategic support to the senior executive team and PE sponsor, and reporting to the CFO.

Responsibilities

  • You will help shape their M&A strategy by identifying global trends, conducting market analysis and evaluating targets to enable the business to use selective M&A as a powerful growth driver
  • You will partner with the senior executive leadership and PE investor to drive M&A processes in all aspects of evaluation and execution as well as build their operating model for acquisitions
  • Blending market analysis, corporate strategy and deal execution, this role provides a unique opportunity to lead the in-organic development of the business

The Work

  • Identify and prioritise strategic gaps, evaluate buy, build, and partner options and collaborate with the senior team on target selections and recommendations
  • Advise senior execs and the board on M&A strategies (e.g. share/asset deals and acqui- hires)
  • Build relationships with internal stakeholders to market map the right targets/M&A areas, and maintain a strong external advisory network to inform deal flow and key trends
  • Develop an M&A strategy to best drive inorganic growth initiatives
  • Provide recommendations on potential acquisitions via detailed commercial / financial analysis
  • Build business case, granular financial model, and investment case for each acquisition
  • Includes M&A target forecasts, cash flow analysis, analytics on revenue growth / appropriateness of operating expenses, and investment case related financial analysis
  • Lead (under CEO/CFO/PE sponsorship) day-to-day M&A workstreams, including flawless transaction execution, valuation, due diligence management (e.g. CDD, LDD, FDD, and IT/Tech DD), negotiations, transaction structuring, integration planning and execution, financial modelling, business plan preparation, legal documentation and progress reporting
  • Lead managers across the group post-deal to build strategic alignment and operating models
  • Preparing financial / commercial information for exit workstreams (e.g. IMs & VDD reports)

Skills Required

  • 7+ years M&A experience (banking, ACA, or consulting) with focus on Tech / professional services
  • Exceptional interpersonal, team-working and written and verbal communication skills, with the ability to quickly establish rapport credibility, trust, and respect with a diverse group of people
  • Ability to work effectively across disciplines and regions in matrix, high growth environments
  • Intellectual curiosity and exceptional analytical skills with strong attention to detail – can digest and organise data in a logical manner to fully understand and share M&A target information
  • Advanced proficiency with Excel, PowerPoint, Word etc.
  • Ability to prioritise and manage multiple projects / responsibilities simultaneously
